TERRI PINES COUNTRY CLUB

ARTICLE II

2.1: The affairs of the club shall be entrusted to, and managed by, a Board of Governors and Officers composed of thirteen (13) elected members. In addition, the immediate past president shall be an ex officio member of the Board with voting rights. In the event the incumbent president shall succeed in the office, the immediate past president shall continue on the Board.

2.2: The Board, in its sole discretion, shall have the right to make and alter rules and regulations for the conduct of the affairs of the Club, the use of the Clubhouse and grounds, and the conduct of members and guests while on the Club premises.

2.3: The Board shall have the power to fix and assess or remit monetary penalties for infractions of rules, regulations or by-laws.

2.4: The Board shall have power to delegate from time to time such authority as may seem advisable to any one or more members of the Club as a committee in order that the affairs of the club may be transacted with promptness and dispatch.  The actions of all committees shall be subject to the approval of the Board.

2.5: The Board of Governors may appoint employees and agents of the Club, prescribe their compensation and take such bond or security from them as the Board deems proper.  Such appointees shall be employed at the pleasure of the Board, and the Board may terminate any such employment at any time.

2.6: Regular meetings of the Board shall be held the last Thursday of each month, except as rescheduled by the Club President. Special meetings of the Board may be called at any time by the President or by the proper officer in the absence of the President, or by any three (3) members of the Board. Seven (7) or more Governors shall constitute a quorum for the transaction of any business except as may be otherwise provided herein.
